In these Terms, "we", "us", and "Marketarta" mean Marketarta OÜ. "You" and "Client" mean the business engaging our services.

Marketarta is a creative agency offering social media management, branding and creative direction, and performance marketing. The exact scope, deliverables, and timelines for each engagement are agreed in writing in a proposal, statement of work, or written confirmation before work begins.

Our services are provided to businesses. They are not consumer services, and engagements are business to business.

An engagement begins once you accept a proposal or confirm the scope in writing and the first payment is received. We will then carry out the agreed work using reasonable skill and care.

1. Fees are set out in the agreed proposal and are billed monthly in advance unless agreed otherwise in writing.
2. Payment is due before the start of each service month. Some clients pay several months in advance by agreement.
3. Payments are made by bank transfer in the currency stated in the proposal.
4. If a payment is not received by its due date, we may pause work and withhold deliverables until the account is settled.

1. Engagements continue on a rolling monthly basis until cancelled.
2. Either party may cancel by giving 30 days written notice by email.
3. Fees for the current paid month are not refundable once work for that month has started, because strategy, content, and campaign management are already in progress.
4. By mutual agreement, an engagement may be paused rather than cancelled, and resumed later on agreed terms.

1. Final deliverables we create for you transfer to you only once the month in which they were produced is paid in full.
2. Until full payment, all work product remains our property.
3. We may use tools, templates, methods, and know how that we developed independently across multiple clients, and these remain ours.
4. We may display completed work in our portfolio and marketing unless you ask us in writing not to.

You agree to provide the materials, approvals, access, and information we reasonably need to do the work, and to do so in good time. Delays in providing these may affect timelines, and we are not responsible for delays caused this way.

Our work often relies on platforms such as social networks and advertising systems that we do not control. We are not responsible for changes, outages, policy decisions, account actions, or results that arise from those platforms.

Each party will keep the other party's confidential information private and use it only to perform the engagement. This obligation continues after the engagement ends.

1. We provide our services with reasonable skill and care, but we do not guarantee specific commercial outcomes such as sales, reach, or follower growth, since these depend on factors outside our control.
2. To the fullest extent permitted by law, our total liability arising from an engagement is limited to the fees you paid us for the service month in which the issue arose.
3. We are not liable for indirect or consequential losses, including lost profits or lost business opportunities.
4. Nothing in these Terms limits liability that cannot be limited under Estonian law.

These Terms are governed by the laws of the Republic of Estonia. Any dispute that cannot be resolved amicably will be settled by the competent courts of Estonia.

We may update these Terms from time to time. The effective date at the top shows the latest version. Continued use of our services after an update means you accept the updated Terms.
